Welcome to the NAIXT Influencer and Affiliate Programs (“Programs”). These Terms and Conditions (“Terms”) govern your participation in the Programs offered by NAIXT (“Company,” “we,” “us,” or “our”). By applying for or participating in the Programs, you (“Participant,” “you,” or “your”) agree to be bound by these Terms.

1. Definitions

• Influencer: An individual or entity approved by NAIXT to promote our AI tools through content creation on platforms such as YouTube, Twitter/X, TikTok, Facebook, and others.
• Affiliate: An individual or entity approved by NAIXT to promote our AI tools using a unique referral link, earning commissions on sales generated through that link.
• Content: Any material created and shared by Participants to promote NAIXT, including but not limited to videos, posts, articles, and scripts.
• Partner Relations Manager: The NAIXT representative responsible for managing relationships with Influencers and Affiliates.

2. Eligibility

To participate in the Programs, you must:

• Be at least 18 years old.
• Have the legal capacity to enter into a contract.
• Own or manage active social media accounts, websites, or other platforms relevant to the promotion of NAIXT.
• Comply with all applicable laws and regulations.

3. Application Process

• Influencers: Must contact our Partner Relations Manager to develop a tailored content strategy. The strategy and script must be submitted for approval before content creation.
• Affiliates: Must register on the NAIXT web application and provide necessary details to receive a unique referral link.

4. Content Guidelines

• Participants must present NAIXT in an objective and generally positive manner.
• Content should be authentic and reflect genuine use or experience with our AI tools.
• Negative points may be raised if they are relevant and presented constructively.
• Any content that could harm NAIXT’s brand image—including but not limited to false claims, offensive language, or misleading information—will not qualify for remuneration and may result in termination from the Programs.
• Influencers are required to submit their content strategy and scripts to the Partner Relations Manager for approval before publishing.

5. Payment Terms

5.1 Influencers

a. Payment Schedule:

• Payments will be determined one week after the publication of content.
• For YouTube videos (standard format), payments will be determined one month after publication.

b. Compensation:

• Earnings are based on performance metrics such as views and engagement.
• Maximum payouts (capping) apply as outlined in the compensation table provided during the strategy development phase.

c. Payment Method:

• Payments will be made exclusively via bank transfer.

5.2 Affiliates

a. Payment Schedule:

• Payments are made on the 15th of the following month after a sale is generated.

b. Commission Structure:

• Earn a 30% lifetime revenue share on every sale generated through your referral link.
• Referred clients are counted for life, and commissions are cumulative.

c. Payment Method:

• Payments will be made via the method specified in your affiliate account settings.

6. Performance Tracking

• Influencers must share all relevant performance metrics with NAIXT to evaluate engagement and effectiveness.
• Affiliates can access real-time performance reports through the NAIXT web application.

7. Confidentiality

Participants agree to keep all non-public information—including but not limited to business strategies, compensation details, and performance metrics—confidential and not disclose it to any third parties without prior written consent from NAIXT.

8. Intellectual Property

• NAIXT retains all rights, titles, and interests in its trademarks, logos, and other intellectual property.
• Participants are granted a limited, non-exclusive, non-transferable license to use NAIXT’s intellectual property solely for the purpose of fulfilling their obligations under these Terms.
• Any use of NAIXT’s intellectual property must comply with our brand guidelines and be approved by the Partner Relations Manager.

9. Termination

• By NAIXT:
  • We reserve the right to terminate your participation in the Programs at any time for breach of these Terms or any conduct that we deem harmful to our brand.
• By Participant:
  • You may terminate your participation by providing written notice to NAIXT.
• Effects of Termination:
  • Upon termination, you must cease all promotional activities related to NAIXT and remove any NAIXT intellectual property from your platforms.
  • Any outstanding payments due before the termination date will be settled in accordance with the Payment Terms.

10. Liability and Indemnification

• Participants agree to indemnify and hold harmless NAIXT, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising out of or related to their participation in the Programs.
• NAIXT shall not be liable for any indirect, incidental, or consequential damages arising out of these Terms or the Programs.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

12. Modification of Terms

NAIXT reserves the right to modify these Terms at any time. Participants will be notified of any significant changes. Continued participation in the Programs after such modifications constitutes acceptance of the new Terms.

13. Miscellaneous

• Independent Contractors: Participants are independent contractors and not employees or agents of NAIXT.
• Assignment: You may not assign or transfer any rights or obligations under these Terms without prior written consent from NAIXT.
• Entire Agreement: These Terms constitute the entire agreement between you and NAIXT regarding the Programs.
